THE "CONSORZIO MEDITERRAE" is a non-profit structure which is not for profit

The exclusive social purposes of the Consortium are, also separately:

1) The integrated development, implementation and innovation of all possible Agricultural, Forestry activities including officinal, Zootechnical and Fish crops carried out by the consortium companies, as well as of all areas of interest related to the processing, transformation and conservation of products deriving from these activities;

2) The transformation, conservation, marketing and distribution of all the products of the member companies both in Italy and abroad and the promotional activity necessary to achieve it;

3) The implementation of all the necessary logistic activities related to the main activities mentioned above;

4) The development of the necessary Housing and related social services aggregated to any useful implementation connected to the main objectives of the Consortium in question;

5) The realization of all the necessary works and infrastructures, as well as the implementation and management of all the technological and innovative systems serving the various social infrastructures and anything else connected to the development and implementation of the various ongoing projects aimed at the realization and to the innovation of all the primary activities of the Consortium that fall within the corporate purpose;

6) The development activities of all sectors of interest, as widely indicated above, both nationally and internationally, in order to carry out projects, agro-industrial programs and more generally those in support of possible primary activities, specific studies for '' implementation of individual crops to achieve and optimize the related investment programs;

7) The development activity of the primary activities mentioned above, carried out by the consortium companies, also through the use of special structures, such as, by way of example, photovoltaic greenhouses and biomass plants (the latter will use for the production of energy products from the primary sector).

To these specific purposes can be added:

a) the provision of services related to the production, processing, conservation, marketing and export of agri-food, fish, zootechnical products and their derivatives and activities aimed at increasing the attraction of demand for these products in the national and foreign market;

b) the development and promotion in Italy and abroad of the agri-food, fish and livestock sector, through the production and services of the consortium members and associated companies;

c) support to consortium member companies for market research, general services, as well as support and integrated logistics activities, with reference to the activities contemplated, both in Italy and in foreign countries;

d) the organization and regulation of the participation of member companies in national and foreign exhibitions and fairs, in Italian economic missions in foreign countries as well as the promotion and management of collective exhibitions of the products and services of the consortium members and providing all necessary assistance to aim to research and conquer new foreign markets;

e) assistance in the development and implementation, at the request of the interested parties, of the initiatives and activities concerning the exports of the individual consortium companies and their supporting members;

f) the activity of providing real services, data processing, etc., to member companies;

g) research and market studies both in Italy and abroad;

h) the development of national and international advertising actions, including the preparation and distribution of collective catalogs, in order to give the greatest possible visibility to the production and service activities of the member companies;

i) the promotion and creation of collective quality and product protection brands, aimed at distinguishing and qualifying, both in Italy and abroad, the production of the consortium companies;

l) the organization of training and refresher courses, aimed at the qualification, including ethics, updating and specialization of the consortium members and / or other subjects who are part, directly or indirectly, of the Consortium and of the consortium companies;

m) the performance of any other activity connected and / or preparatory to those indicated above, useful for a better success of the same, including the establishment of its own representative offices and secondary offices, branches, warehouses and integrated service centers, both in Italy and abroad;

n) the promotion, encouragement and creation of Memorandum of Understanding (MOU), Agreements of Understanding, mixed Joint-Ventures in Italy and abroad as well as any other different form of national / international agreements between the consortium and / or Consortium companies and any foreign partners selected with the help of the consortium structures, using any national, community and international facilitating instrument envisaged for such activities;

o) the promotion and development of technical assistance activities, with the possibility of making use of professionals and / or professional companies outside the Consortium, specifically affiliated for this purpose, to companies and consortium companies, also for the development of initiatives in the field of production of energy from renewable sources, as well as the design of any useful structure and / or infrastructure aimed at the installation of complementary transformation processes and the industrialization of products as well as any related activity;

p) the management of plants, logistics, platforms and any other useful activity connected to the achievement of the consortium's goals; therefore, the Consortium will be able to carry out all the acts and stipulate all the contracts both in the name and on behalf of all, of some or of the single consortium member, and in the name and on its own account, deemed necessary and / or useful for the achievement of the object social;

q) the opening and closing of sales branches in Italy and abroad for the wholesale and retail marketing of the products of the consortium companies, the establishment of suitable representative offices.

The Mediterrae Consortium may also:

- take advantage of all the facilities provided for by the regional, national, EU and international laws, issued and enacted;

- acquire interests, quotas, shareholdings, including shares, in other companies having purposes - both directly and indirectly - similar, similar or in any case connected to their corporate purpose, within the limits permitted by law, both in Italy and abroad;

- issue endorsements, accreditations and all appropriate forms of guarantees possible, in favor of the consortium member companies, as well as promoting all useful facilities for access to credit in general;

- to issue guarantees, towards third parties, provided that the associates possess the organization and means (equipment and technical capacity, as well as adequate personnel), suitable for carrying out the services and / or works assigned;

- manage, on behalf of the member companies, all the necessary common services that will be agreed in order to achieve adequate economies of scale;

The Mediterrae Consortium performs every other act and also carries out all those activities strictly

connected to those indicated in the previous paragraphs and, in general, useful for the development of the activities of the consortium companies, as long as they are necessary or useful for the realization of the consortium object and provided that this is not substantially modified.

All the activities of the Consortium at a national and international level are carried out in compliance with the national, community and international laws in force on the subject.
